Participant acknowledges that HabiLink is a neutral introduction network and technology platform only. HabiLink is not a licensed real estate broker, agent, or transaction facilitator. HabiLink does not represent any party in any real estate transaction. All transactions and negotiations occur directly between participants, outside the HabiLink platform.
Deal Sources represent and warrant that they have the legal right to offer each property submitted, all property information submitted is accurate and complete, they have complied with all applicable seller disclosure requirements, their activities comply with all real estate licensing laws in the applicable jurisdiction, they have obtained the property seller's informed consent, and they will promptly withdraw any deal submission that is no longer available or accurate.
Verified Buyers represent and warrant that they are experienced real estate investors with the sophistication to evaluate investment opportunities independently, they will conduct independent due diligence on any property before any transaction, they understand that deal information is provided by third-party Deal Sources and HabiLink makes no representations about its accuracy, and they will not hold HabiLink responsible for any investment loss or transaction outcome.
All Participants agree to comply fully with the Fair Housing Act and all applicable state and local fair housing laws, comply with RESPA and applicable state referral fee laws, comply with all applicable state real estate licensing laws, not engage in any fraudulent or misleading conduct, maintain the confidentiality of other participants' information, and not share platform access with unauthorized parties.
Participant agrees to indemnify, defend, and hold harmless HabiLink LLC and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses including reasonable attorneys' fees arising from Participant's use of the platform, any deal submission, Participant's violation of this Agreement or applicable law, or any transaction entered into as a result of platform introductions.
Violation of this Agreement may result in immediate suspension or permanent termination of platform access, financial clawback of fees paid where permitted by law, reporting to relevant regulatory authorities, and legal action for damages.
HabiLink makes no guarantee that Participant will find buyers, sell properties, close transactions, or achieve any particular investment outcome through use of the platform.
